BLB&G, representing Louisiana Sheriffs’ Pension & Relief Fund and Boynton Beach General Employees’ Pension Plan, brings a stockholder derivative action on behalf of Uber Technologies, Inc. against certain of its current and former directors and officers. The case is pending in the U.S. District Court for the Northern District of California.
Plaintiffs allege that Uber’s board failed to oversee one of the most basic risks facing a ride-share company: the safety of its riders. For years, Uber allegedly received a report of sexual assault or misconduct roughly every eight minutes and disclosed only a small fraction of them publicly. Uber allegedly had the tools to reduce these assaults, including a system that flagged high-risk rides, and it chose not to fully use them because they might hurt growth. Instead, it barred investigators from referring even confessed assaults to the police.
The board was repeatedly warned and failed to take any tangible action to remediate in response to red flags. Plaintiffs allege that the same oversight failure led to years of discrimination against riders with disabilities, which ended in a 2025 Department of Justice lawsuit. It also allegedly led to deceptive practices in Uber’s Uber One subscription service, which ended in a 2025 Federal Trade Commission lawsuit.
Plaintiffs also allege violations of the federal securities laws. The directors told stockholders they were actively overseeing safety and compliance, and they used those allegedly misleading statements to win re-election. The complaint asserts claims for breach of fiduciary duty, corporate waste, unjust enrichment, and violations of Sections 14(a) and 29(b) of the Securities Exchange Act.
