In the article “Blunting the ‘Tools at Hand’: Recent Developments in Delaware Books-and-Records Demand Law” published by the University of Miami Business Law Review, BLB&G Senior Counsel Daniel Meyer examines recent changes to Delaware's books-and-records demand law under Section 220, challenging the narrative that these actions overly burden judicial resources. The author addresses common misconceptions of Section 220 petitions and critiques recent legislative and judicial changes. He argues that these changes may increase litigation and strain courts further rather than resolve the perceived issues. The author concludes by emphasizing the need for careful consideration of legislative and judicial changes to ensure they do not inadvertently exacerbate the challenges they aim to address.
Daniel practices out of the firm's Delaware office, where he represents institutional clients in corporate governance matters. He is currently serving on the case teams in litigations against Coinbase, Centrus Energy, and Astra Space, and has contributed to significant cases involving Walmart, TD Ameritrade, and United Airlines. Previously, Daniel clerked for the Honorable Andre G. Bouchard in the Delaware Court of Chancery. Most recently, Daniel served as a guest lecturer at Harvard Law School.
